Register a Limited Partnership (LP) in Canada

Register a Limited Partnership (LP) to combine flexibility, control, and liability protection for both general and limited partners. At BusinessIncCorpCanada.com, we simplify every step of the registration process so you can launch your partnership smoothly and with peace of mind.

Why Choose a Limited Partnership?

A Limited Partnership (LP) is a smart option for businesses that require clear role separation. While general partners manage daily operations and bear liability, limited partners contribute capital without active involvement—therefore minimizing their risk. Consequently, this structure works especially well for investors who prefer to stay hands-off.

Moreover, an LP allows you to tailor responsibilities, making it easier to manage financial contributions, decision-making, and legal obligations under one flexible agreement.

How We Help You Register

To begin with, we assist in defining the roles and legal terms for all partners involved. Next, we prepare and file the required documents on your behalf. In addition, we verify name availability and ensure your LP complies with both federal and provincial regulations. As a result, you can move forward knowing your registration is fully secure and properly structured.

Get Started with Confidence

Since no two businesses are alike, we provide expert, personalized guidance at every step. Whether you’re ready to register or still evaluating your options, we’re here to help—from start to finish.

How to register a limited partnership in New Brunswick

What is a limited partnership?

A limited partnership (LP) has at least one general partner, who manages the business and has unlimited liability, and at least one limited partner, whose liability is limited to what they invested. Limited partners do not take part in managing the business.

How do I register a limited partnership?

A limited partnership is registered with the Corporate Registry at Service New Brunswick. Fill out the form on this page with the partnership name, the general and limited partners and the business address. We prepare the filing, submit it and send you the confirmation.

How much does it cost?

Our limited partnership registration is $579 plus HST. If you are using a new name, you will also need a NUANS report ($50).

Limited partnership or general partnership?

In a general partnership, every partner shares in running the business and is personally responsible for its debts. A limited partnership suits investors who want to put money in without managing the business or taking on unlimited liability.

Does a partnership need its own CRA accounts?

Often, yes. A partnership may need a business number, an HST account and a payroll account. We can register these with the CRA at the same time. Call us at (506) 854-6490 to talk it through.
